1. Agreement to these terms
These Terms of Use govern your use of the website at theengineroom.expert (the "Site"), operated by The Engine Room.expert, LLC ("The Engine Room," "we," "us," or "our"), a Florida limited liability company.
By using the Site, you agree to these terms. If you do not agree with them, please do not use the Site.
2. What this Site is
The Site describes our fractional revenue leadership, go-to-market advisory, and AI assessment services, and shares perspectives on how B2B software companies build and scale commercial organizations.
Everything on the Site is general information published for a broad audience. It is not tailored to your company, your market, your team, or your circumstances, and we have no knowledge of them when we publish it.
3. No advisory relationship
Reading the Site, downloading material from it, or contacting us through it does not create a consulting, advisory, fiduciary, or professional relationship between us.
An advisory relationship with The Engine Room begins only when both parties sign a written agreement describing the work. Until that happens, nothing we have published and nothing we have discussed should be treated as advice you are entitled to rely on.
Where a signed agreement exists, it controls. If you are a client under a consulting agreement, statement of work, or non-disclosure agreement with us, that agreement governs our relationship and takes precedence over these terms in the event of any conflict.
4. Not professional advice
Content on the Site is not legal, financial, investment, tax, accounting, or employment advice, and should not be used as a substitute for advice from a qualified professional who understands your situation.
Go-to-market decisions — how you structure a sales team, who you hire, how you compensate them, how you forecast, what you tell investors — carry commercial, legal, and financial consequences specific to your business. Please consult appropriate advisors before acting.
5. Case studies, results, and forward-looking statements
The Site describes outcomes from prior engagements and operating roles, including company outcomes such as acquisitions, public offerings, and private equity transactions.
These are historical descriptions of particular situations. They are not a promise, guarantee, or prediction of results for any other company. Revenue outcomes depend on market conditions, product, capital, timing, team, execution, and many factors outside any advisor's control. Companies described on the Site achieved their outcomes through the combined work of many people over extended periods.
Where case studies are anonymized or generalized, that is deliberate and reflects our confidentiality obligations. Details may be omitted or altered to protect client identity.
6. Our content and intellectual property
The Site and its contents — text, frameworks, methodologies, diagnostics, operating models, graphics, layout, and design — are owned by The Engine Room.expert, LLC or used with permission, and are protected by copyright and other intellectual property laws.
What you may do. View the Site, and share links to it. Quote brief excerpts for commentary, reporting, or discussion, with attribution to The Engine Room and a link to the source page.
What you may not do, without our written permission. Reproduce, republish, or distribute substantial portions of the Site. Present our frameworks, methodologies, or assessment structures as your own, or incorporate them into commercial products, training materials, or consulting deliverables you sell to others. Use our name or content in a way that implies endorsement or partnership that does not exist.
We are glad for people to reference and build on ideas we publish. The line we care about is between engaging with the thinking and repackaging the work.
7. Third-party names and trademarks
The Site refers to companies where we have held operating roles or performed work, and to software and service providers we use or reference. Those names and marks belong to their respective owners.
These references are factual and descriptive. They do not imply that those companies endorse, sponsor, or are affiliated with The Engine Room, or that they have reviewed or approved anything on the Site.
Where the Site describes work performed in collaboration with another organization, that description reflects our understanding of the collaboration. It does not make that organization a party to these terms or responsible for our services.
8. AI assessment content
Material on the Site relating to AI maturity, workflow assessment, and adoption describes our approach in general terms.
Any assessment we perform under a signed engagement produces findings and recommendations based on information available to us at the time. Those outputs are professional judgments, not warranties of accuracy, completeness, or outcome. Technology, vendors, and regulations in this area change quickly, and recommendations can become outdated. The terms of the relevant engagement agreement — not these Terms of Use — govern any assessment we deliver.
9. Acceptable use
Please use the Site for its intended purpose. You agree not to:
- —Access the Site through automated means — scraping, crawling, or harvesting — except for standard search engine indexing
- —Collect contact information from the Site for unsolicited marketing
- —Attempt to gain unauthorized access to the Site, its hosting infrastructure, or any connected systems
- —Probe, scan, or test the vulnerability of the Site
- —Interfere with the Site's normal operation, or place unreasonable load on it
- —Use the contact form to send unsolicited commercial messages, malicious content, or anything unlawful
- —Use the Site in violation of any applicable law
10. Links to other sites
The Site links to third-party sites, including LinkedIn. We do not control those sites, do not endorse their content by linking to them, and are not responsible for their content, accuracy, or privacy practices. Visiting them is at your own discretion.
11. Privacy
Our Privacy Policy explains what information we collect through the Site and how we use it. It forms part of your use of the Site.
12. Availability of the Site
We provide the Site on an "as available" basis. We may modify, suspend, or discontinue any part of it at any time, and we may update or remove content without notice. We do not guarantee uninterrupted or error-free access.
13. Disclaimer of warranties
The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.
We make reasonable efforts to keep the Site accurate and current, but we do not warrant that it is free of errors or omissions, or that it reflects the most recent developments in a fast-moving field.
14. Limitation of liability
To the fullest extent permitted by law, The Engine Room.expert, LLC and its members, officers, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or loss of data, arising from or relating to your use of the Site or reliance on its content — whether based in contract, tort, negligence, strict liability, or any other theory, and even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising from or relating to the Site will not exceed one hundred U.S. dollars ($100).
This section limits liability relating to the Site. It does not limit liability under a signed consulting agreement, which contains its own liability terms.
Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless The Engine Room.expert, LLC and its members, officers, and contractors from any claims, losses, liabilities, and reasonable legal fees arising from your misuse of the Site, your violation of these terms, or your infringement of the rights of any third party.
16. Changes to these terms
We may update these terms as our practices or the law change. When we do, we will revise the "Last updated" date above. Material changes will be noted on this page. Continuing to use the Site after changes take effect means you accept the revised terms.
17. Governing law and venue
These terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.
Any dispute arising from or relating to these terms or the Site will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of those courts.
18. General
Severability. If any provision of these terms is found unenforceable, the remaining provisions remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Entire agreement. These terms, together with our Privacy Policy, are the entire agreement between you and us regarding your use of the Site. They do not replace or modify any signed agreement between us.
Assignment. You may not assign your rights under these terms. We may assign ours in connection with a merger, acquisition, or sale of the business.
